1. Agreement to Terms
These Terms of Service (these "Terms") govern your use of (i) the website located at https://ritterwools.com (the "Site") operated and owned by Bandana Capital ("Company", "us", "we", or "our"), (ii) any online services made available via the Site ("Online Services") and (iii) products made available via the Site ("Products"). Together, the Site, Online Services and Products are the "Services".
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.
IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS
WHEN YOU AGREE TO THESE TERMS AS A U.S. CUSTOMER, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND COMPANY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 15 "DISPUTE RESOLUTION" BELOW FOR DETAILS REGARDING ARBITRATION.
NOTE FOR INTERNATIONAL CUSTOMERS: If you are located outside the United States, particularly in the European Union, United Kingdom, United Arab Emirates, or other jurisdictions with mandatory consumer protection laws, certain provisions of these Terms (including arbitration requirements and liability limitations) may not apply to you or may be modified as described in Sections 14 and 16 below. Your statutory consumer rights under applicable local law cannot be excluded or limited by these Terms.

3. Changes to These Terms
We may update these Terms from time to time at our sole discretion. If we do, we will post the updated Terms on the Site and may also send other communications. It is important that you review the Terms whenever we update them, when you use the Services, or when you make a purchase on the Site. If you continue to use the Services after we have posted updated Terms, it means that you accept and agree to the changes. If you do not agree to the changes, you may not continue to use the Services.
For customers in the EU, UK, or other jurisdictions where required by law, material changes to these Terms will not apply to contracts already concluded unless you expressly agree to such changes.
4. General
4.1 Eligibility; Your Account
You may use the Services only if you are 18 years or older and capable of forming a binding contract with Company, and not otherwise barred from using the Services under applicable law. If you are under 18 or not legally considered an adult in your jurisdiction, you must ask a parent or legal guardian to read these Terms and accept them on your behalf. Parents and guardians are responsible for their children's activity in connection with the Services.
To access certain features, you may need to register and create an account. You agree to provide accurate, complete and current account information and to keep this information up to date. If you do not, we may need to suspend or terminate your account. To protect your account, keep your login details confidential and notify us promptly of any unauthorized use. You are responsible for all activity that occurs under your account.
4.2 License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable right to access and use the Services for your personal, non-commercial use.
4.3 Prohibited Conduct
You may not use the Services other than as expressly permitted by these Terms. Without limitation, you will not, directly or indirectly:
- Copy, reproduce, modify, distribute, display, create derivative works of, or transmit any content on the Services;
- Use the Services commercially or for the benefit of any third party or in any manner not permitted by these Terms;
- Reverse engineer, decompile, tamper with or disassemble the technology used to provide the Services (except where permitted by mandatory law);
- Interfere with or damage the Services or any underlying technology;
- Impersonate or misrepresent your identity or affiliation;
- Attempt to obtain unauthorized access to the Services or use any automated tools (bots, crawlers, scrapers) other than standard web browsers;
- Collect information about other users of the Services;
- Violate, misappropriate or infringe a third party's intellectual property or other rights, or platform terms;
- Violate any applicable law, rule or regulation; or
- Interfere with any third party's ability to use or enjoy, or our ability to provide, the Services.
5. Terms of Sale
5.1 Product Descriptions
We work hard to keep the Site accurate and helpful. However, there may be times when information on the Site is incorrect, incomplete, or may appear inaccurate due to the technology you use (for example, your browser or screen). We reserve the right to correct errors, inaccuracies or omissions, whether by updating information on the Site or by informing you of the issue and offering you the option to cancel your order.
5.2 Ordering
By placing an order on the Site, you are making an offer to purchase the relevant Products subject to these Terms. Your order is not binding on us until we accept it and send you an order confirmation email ("Order Confirmation") that confirms the Products purchased, the price, and the estimated shipment date ("Order Confirmation Shipment Date").
We reserve the right to refuse or cancel any order for any lawful reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud or unauthorized transactions. If we cancel your order after payment has been processed, we will issue a full refund.
5.3 Pricing and Taxes
Prices: All prices are stated in U.S. dollars unless otherwise indicated. We may change prices and available Products at any time. Quantities may be limited, and stock cannot always be guaranteed.
Taxes and Duties:
- Prices exclude applicable taxes, customs duties, and import fees unless explicitly stated as included.
- For customers in the European Union, United Kingdom, and certain other jurisdictions, applicable VAT or other consumption taxes will be calculated and displayed at checkout.
- For international shipments, you may be responsible for import duties, customs fees, and local taxes imposed by your country. These charges are the customer's responsibility and are not included in the product price or shipping costs.
- We are not responsible for any customs delays or additional charges imposed by customs authorities.
Currency: While prices are listed in U.S. dollars, your bank or payment provider may convert the charge to your local currency and may apply currency conversion fees.
5.4 Payment Terms
When you place an order (each, a "Transaction"), you expressly authorize us (or our payment processor) to charge your payment method for the total amount of the Transaction, including applicable taxes and shipping. We may request additional information to verify your identity and payment details ("Payment Information"). You represent and warrant that you have the legal right to use the payment method provided.
All payments are non-refundable and non-transferable except as expressly provided in these Terms, our Shipping & Returns Policy, and as required by applicable law (including mandatory consumer protection rights for EU, UK, and other international customers).
5.5 Shipping and Delivery
5.5.1 We will ship the Products to the address you provide at checkout. Unless otherwise agreed in writing, we will package the Products in accordance with Company's standard practices. Unless you provide specific instructions, we will select the carrier.
5.5.2 Risk of Loss and Title:
- For customers in the United States: Title to the Products and risk of loss pass to you when we deliver the Products to the carrier.
- For customers in the EU, UK, UAE, and other international jurisdictions: Title and risk of loss pass to you when the Products are delivered to you or to a person designated by you at the delivery address.
5.5.3 All shipment dates, including the Order Confirmation Shipment Date, are estimates only. We will make commercially reasonable efforts to meet the stated shipment dates, but we are not liable for any loss, damage or penalty resulting from delay in shipment or delivery, except where such liability cannot be excluded under applicable law. The carrier is not our agent. We may ship your order in multiple packages depending on availability.
5.5.4 Delivery Timeframes: For international orders, delivery times vary by destination and may be affected by customs processing. Estimated delivery times are provided at checkout but are not guaranteed.
5.5.5 If you receive a damaged or incomplete shipment, please contact us at help@ritterwools.com within 7 days of delivery. We may delay or suspend shipment if you fail to make any payment when due.
5.6 Returns and Right of Withdrawal
General Return Policy: All sales are subject to our Shipping & Returns Policy, which provides for returns within 30 days of delivery for unused products in original condition. We monitor return activity for abuse and reserve the right to limit returns or exchanges in cases of suspected abuse.
Additional Rights for EU, UK, and Other International Customers:
5.6.1 Right of Withdrawal (EU/UK Customers): In accordance with EU and UK consumer protection laws, you have the right to withdraw from your purchase within 14 days of receiving the Products, without giving any reason. To exercise this right:
- Notify us of your decision to withdraw by sending a clear statement to help@ritterwools.com within 14 days of receiving the Products
- Return the Products to us within 14 days of notifying us of your withdrawal
- Products must be returned in their original condition
If you exercise your right of withdrawal, we will reimburse all payments received from you, including standard delivery costs, within 14 days of receiving the returned Products. We may withhold reimbursement until we have received the Products back or you have supplied evidence of having sent them back, whichever is earliest. You are responsible for the cost of returning the Products unless the Products are defective or we agree otherwise.
5.6.2 Extended Return Period: Where our standard 30-day return policy provides a longer period than your statutory withdrawal right, you may take advantage of the longer period.
5.6.3 Exceptions to Right of Withdrawal: The right of withdrawal does not apply to:
- Products that have been personalized or customized for you
- Products that are not suitable for return due to health protection or hygiene reasons if unsealed after delivery
- Products which have become mixed inseparably with other items after delivery
5.6.4 Other Jurisdictions: If you are located in a jurisdiction with mandatory consumer protection rights (such as the UAE or other countries), those rights apply in addition to our standard return policy, and nothing in these Terms limits those rights.
5.7 Legal Guarantee and Warranty
Statutory Rights: Nothing in these Terms affects your statutory rights under applicable consumer protection laws. In particular:
5.7.1 EU/UK Customers: You have legal rights under EU and UK consumer protection legislation if Products are defective or do not conform to the contract. Products must:
- Be of satisfactory quality
- Be fit for purpose
- Match their description
If Products are defective or do not conform to the contract, you may be entitled to have them repaired or replaced, or to receive a full or partial refund. These rights apply for a period of at least 2 years from delivery (or longer if required by your local law).
5.7.2 Other Jurisdictions: Customers in other jurisdictions have the benefit of any mandatory consumer guarantees or warranties provided by local law.
Manufacturer Defects: If you believe a Product has a manufacturing defect, please contact us at help@ritterwools.com within a reasonable time of discovery. We will assess the issue and, where applicable, repair, replace, or refund the Product in accordance with applicable law.
Care Instructions: To maintain your wool products, please follow any care instructions provided with the Products. Improper care may void claims for defects.
6. Reviews, Comments, Communications and Other Content
6.1 User Content
You may post reviews, comments, and other content on the Site ("User Content"), provided that you do not post content that:
- Infringes or violates another's intellectual property, privacy or other rights;
- Violates or encourages conduct that would violate any law or regulation;
- Is fraudulent, false, misleading or deceptive;
- Is defamatory, obscene, pornographic, vulgar or offensive;
- Promotes discrimination, bigotry, racism, hatred, harassment or harm;
- Is violent or threatening, or promotes violence; or
- Promotes illegal or harmful activities or substances.
We do not claim ownership in your User Content.
6.2 Permissions to Your User Content
By making User Content available through the Services, you grant Company a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works based upon, distribute, publicly display and publicly perform your User Content in connection with operating and providing the Services.
6.3 Your Responsibility for User Content
You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to grant us the license described above and that your User Content does not violate any law or third-party rights.
6.4 Removal of User Content
We are not obligated to monitor content, but we may review, remove, or disable access to any content, including User Content, at any time and without notice if we consider it objectionable or in violation of these Terms.
7. Intellectual Property
7.1 Intellectual Property Rights
All content on the Site and made available through the Services, including text, graphics, logos, images, audio, video, and software (collectively, "Company IP"), is owned by or licensed to us. Content is provided "as is" for your personal use only and may not be used, copied, modified, distributed, transmitted, displayed, sold, or otherwise exploited for any other purpose without our prior written consent, except where permitted by mandatory law.
7.2 Reservation of Rights
We reserve all rights in and to the Site, the Services and Company IP not expressly granted to you in these Terms.
8. Links to Third-Party Websites or Resources
The Services may allow you to access third-party websites or resources. We provide access as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. You assume all risk arising from your use of any third-party resource.
9. Termination
We may suspend or terminate your access to the Services, including your account, at any time for breach of these Terms or other reasonable cause, with notice where required by law. You may cancel your account at any time by emailing us at help@ritterwools.com.
Upon any termination, discontinuation, or cancellation of the Services or your account, the following Sections will survive: 4.3, 5.4 (for payments due), 6.2, 6.3, 7, 9, 10, 11, 12, 13, 14, 15 and 16.
10. Warranty Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXCEPT AS REQUIRED BY APPLICABLE LAW. TO THE EXTENT PERMITTED BY LAW, WE EXPLICITLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT PRODUCTS WILL ALWAYS BE IN STOCK.
IMPORTANT NOTE FOR EU, UK, AND INTERNATIONAL CUSTOMERS: Nothing in this Section 10 affects your statutory rights under applicable consumer protection laws, including any mandatory warranties or guarantees described in Section 5.7 above. These disclaimers apply only to the extent permitted by the laws of your jurisdiction.
11. Indemnity
To the extent permitted by applicable law, you will indemnify and hold Company and its officers, directors, employees and agents harmless from any third-party claims, disputes, demands, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with (a) your access to or use of the Services in breach of these Terms, (b) your User Content, or (c) your violation of these Terms or applicable law.
This indemnity obligation does not apply where prohibited by mandatory consumer protection laws.
12. Limitation of Liability
12.1 General Limitations
TO THE EXTENT PERMITTED BY LAW, NEITHER COMPANY NOR ITS SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA, GOODWILL, OR SERVICE INTERRUPTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES OR PRODUCTS.
TO THE EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM OR, IF THE CLAIM DOES NOT RELATE TO A PRODUCT, FIFTY U.S. DOLLARS ($50).
12.2 Mandatory Liability Under Consumer Protection Laws
IMPORTANT: Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence or that of our employees or agents;
- Fraud or fraudulent misrepresentation;
- Any breach of the terms implied by applicable consumer protection legislation concerning title, description, satisfactory quality, and fitness for purpose;
- Defective products under applicable product liability laws; or
- Any other liability that cannot be excluded or limited under applicable law.
For EU and UK Customers: Under EU and UK consumer protection law, we are liable for any lack of conformity that exists at the time of delivery and becomes apparent within the legal guarantee period. Our liability includes repair, replacement, price reduction, or contract termination as appropriate.
For Other Jurisdictions: Where mandatory consumer protection laws apply to you, our liability may not be limited to the extent such limitations would violate those laws.
12.3 Business Customers
If you are purchasing Products for business purposes (rather than as a consumer), the limitations in Section 12.1 apply to the fullest extent permitted by law.
13. Language and Communication
These Terms are provided in English. All communications with Company regarding the Services, including customer support, will be conducted in English. If these Terms are translated into another language for your convenience, the English version will prevail in case of any conflict.
14. Governing Law and Jurisdiction
14.1 Governing Law
These Terms and any action related to them will be governed by the laws of the State of Illinois and U.S. federal law, without regard to conflict of laws provisions, except to the extent preempted or superseded by mandatory consumer protection laws applicable to your jurisdiction.
14.2 Jurisdiction
For U.S. Customers: Except as otherwise expressly set forth in Section 15 (Dispute Resolution), the exclusive jurisdiction for all disputes that you and Company are not required to arbitrate will be the state and federal courts located in Cook County, Illinois, and you and Company each waive any objection to jurisdiction and venue in such courts.
For EU and UK Customers: If you are a consumer resident in the EU or UK, you may bring legal proceedings in relation to these Terms either in the courts of your country of residence or in the courts of Illinois, United States. We may bring proceedings against you only in the courts of your country of residence.
For Other International Customers: If you are located outside the United States, EU, or UK, and your local law provides for mandatory jurisdiction in your local courts for consumer disputes, such provisions will apply. Otherwise, disputes may be brought in the courts of Illinois, United States, or as provided in Section 15 for arbitration-eligible disputes.
Consumer Rights: Nothing in this section affects any mandatory rights you may have under the laws of your jurisdiction to bring proceedings in your local courts.
15. Dispute Resolution (U.S. Customers Only)
THIS SECTION 15 APPLIES ONLY TO CUSTOMERS LOCATED IN THE UNITED STATES. If you are located outside the United States, this arbitration provision does not apply to you. Please see Section 16 for international dispute resolution.
15.1 Informal Dispute Resolution
Before pursuing arbitration, you and Company agree to first attempt to resolve any dispute informally. If you have a dispute with Company, you will send a written notice of your dispute ("Dispute Notice") to:

Your Dispute Notice must include: (A) your name, address, email address, and telephone number; (B) a description of the dispute; and (C) the specific relief you seek.
If Company has a dispute with you, Company will send a written notice ("Company Notice") to the email address associated with your account. If you and Company cannot resolve the dispute within thirty (30) days after receipt of a Notice, either party may submit the dispute to binding arbitration as described below.
15.2 Binding Arbitration; No Class Actions
Except for individual disputes that qualify for small claims court and any disputes relating to intellectual property rights, all disputes arising from or relating to these Terms or the Services will be resolved by binding arbitration before a neutral arbitrator, and not in court before a judge or jury. YOU AND COMPANY AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, NOT IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.
15.3 Federal Arbitration Act
These Terms affect interstate commerce, and the enforceability of this Section 15 will be governed by the Federal Arbitration Act (FAA), to the extent permitted by law.
15.4 Arbitration Procedure
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitrator has the authority to grant any relief that would otherwise be available in court, consistent with these Terms and applicable law.
15.5 One Year to Assert Disputes
To the extent permitted by law, any dispute you have relating in any way to these Terms or the Services must be filed within one year after the dispute arises, or it will be permanently barred.
15.6 Opting Out of Arbitration
You may opt out of binding arbitration within thirty (30) days of the date you first accepted these Terms by sending us a notice by email at help@ritterwools.com or by certified mail to the address above. Your notice must include your full name, mailing address, and email address, and a clear statement that you want to opt out of arbitration. If you opt out, you agree that disputes will be resolved in accordance with Section 14.
15.7 Rejection of Future Arbitration Changes
You may reject any future change we make to this Section 15 (other than address changes) by sending us notice within thirty (30) days of the change. If you do, the version of Section 15 in effect immediately before the change will apply.
15.8 Severability
If any portion of this Section 15 is found to be unenforceable or unlawful, the unenforceable portion will be severed, and the remainder will continue in full force and effect, except that claims that must proceed on a class or representative basis will be litigated in court rather than arbitrated.
16. International Customers - Dispute Resolution and Additional Terms
16.1 EU and UK Customers
Alternative Dispute Resolution: If you are an EU or UK resident and are unhappy with the way we have handled any complaint, you may refer your complaint to the alternative dispute resolution body in your jurisdiction. For EU customers, you may also use the European Commission's Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr/
Cooling-Off Period Reminder: EU and UK consumers are reminded of their 14-day right of withdrawal as described in Section 5.6.
Language Rights: While these Terms and our services are provided in English, EU consumers may have rights under local law to receive certain information in their own language. Please contact us if you require assistance.
16.2 UAE and Other International Customers
If you are located in the United Arab Emirates or other jurisdictions outside the United States, EU, or UK:
- You may pursue dispute resolution through your local courts where mandatory consumer protection laws grant you this right
- Where applicable, you may also use any alternative dispute resolution mechanisms provided by your local law
- The arbitration provisions in Section 15 do not apply to you unless you expressly opt in by contacting us in writing
16.3 Mandatory Consumer Rights
Nothing in these Terms limits or excludes any mandatory consumer rights you may have under the laws of your jurisdiction. Where there is any conflict between these Terms and mandatory consumer protection laws, the consumer protection laws will prevail.
17. General Terms
These Terms constitute the entire and exclusive agreement between you and Company regarding the Services, subject to any mandatory consumer protection laws that cannot be excluded by agreement. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms without our prior written consent. Company may freely assign or transfer these Terms. Any notices or communications from Company may be provided by email or by posting to the Site. Company's failure to enforce any right or provision is not a waiver of that right or provision.
Company will not be responsible for any failure or delay in performance caused by events beyond its reasonable control, including labor disputes, shortages, cyberattacks, telecommunications failures, pandemics, governmental orders, war, terrorism, or natural disasters.
